General Terms of Use

These General Terms of Use and Service (the "Terms") govern access to and use of the MNGRS platform and the services offered through it.

MNGRS is a service operated by GLOBAL MUSIC COMMUNITY SAS ("GMC"), a French simplified joint-stock company registered with the Evry Trade and Companies Register under number 921 180 402.

MNGRS is accessible through https://www.mngrs.ai and the application at https://app.mngrs.ai (together, the "Platform").

By creating an Account, using the Platform or purchasing a Subscription, the User confirms that they have read and accepted these Terms. Any SMS consent checkbox is separate, optional and independent from acceptance of these Terms.

• Account: the personal area created for a User on the Platform.
• AI Services: features of the Platform that use artificial intelligence or generative artificial intelligence.
• Input: any text, image, audio, document, instruction or other content submitted by a User.
• Output: any content generated by the AI Services in response to an Input.
• Platform: the MNGRS websites, application and services.
• Service: the artist-management, planning, content, analysis and related features made available by MNGRS.
• Subscriber: a User with an active paid Subscription.
• Subscription: a paid plan providing access to specified features of the Service.
• User: any person who accesses or uses the Platform.

Use of certain Services requires the creation of an Account. The User must provide accurate, complete and current information.

The User is responsible for maintaining the confidentiality of their login credentials and for all activity carried out through their Account. Any suspected unauthorized access must be reported promptly to contact@mngrs.ai.

MNGRS may suspend or close an Account in the event of fraud, unlawful use, a security risk, non-payment or a material breach of these Terms.

MNGRS assists independent artists with career planning, release strategies, task management, content preparation, professional materials and related artist-management support.

Certain features may analyze information or media provided by the User and generate recommendations, plans, descriptions or other Outputs.

MNGRS provides assistance and guidance but does not guarantee commercial success, audience growth, media coverage, contracts, financing or any particular career result.

MNGRS may offer free features and one or more paid Subscription plans. The features, price, billing period and applicable taxes are displayed before purchase.

MNGRS may modify its offers or prices. Any change affecting an existing recurring Subscription will be communicated in advance where required by law.

Promotional codes may be subject to specific duration, eligibility and usage conditions.

Payments are processed by third-party payment providers, including Stripe where applicable. MNGRS does not store complete payment-card details.

Unless otherwise stated at checkout, a recurring Subscription renews automatically for the selected billing period until cancelled.

The Subscriber may cancel renewal through the Account settings. Cancellation takes effect at the end of the current paid period.

Any mandatory consumer rights, including any applicable right of withdrawal, remain unaffected. Where immediate performance of a digital service affects the right of withdrawal, the required information and consent will be presented at checkout.

The User retains ownership of their Inputs. Subject to applicable law and third-party rights, the User may use Outputs generated for them.

The User grants GMC a limited, worldwide and non-exclusive license to host, process and technically reproduce Inputs only as necessary to provide and secure the requested Service.

MNGRS does not claim ownership of User Inputs. Unless the User separately and expressly agrees, private audio or image files are not used to train general-purpose AI models.

The User is solely responsible for ensuring that they have all rights and permissions required to submit Inputs and use Outputs.

The User must not use the Platform to:

• violate any law, regulation or third-party right;
• upload unlawful, defamatory, hateful, exploitative, pornographic, deceptive or harmful content;
• send spam, unsolicited advertising or malicious communications;
• introduce malware, interfere with security or attempt unauthorized access;
• reverse engineer or attempt to extract non-public models, source code, algorithms or system components, except where permitted by law;
• resell or commercially exploit the Platform without written authorization.

AI Outputs may be inaccurate, incomplete, biased, non-unique or unsuitable for the User's intended purpose.

The User must review Outputs before relying on, publishing or commercially exploiting them. MNGRS does not guarantee the originality, accuracy, legal clearance or fitness of any Output.

MNGRS may use third-party AI and infrastructure providers to deliver the AI Services. Personal data processing is described in the Privacy Policy.

The User remains solely responsible for professional, artistic, commercial and legal decisions made using the Service.

The Platform, software, design, interfaces, databases, documentation, trademarks, logos and other MNGRS materials are owned by or licensed to GMC and are protected by intellectual-property laws.

MNGRS grants the User a personal, limited, non-exclusive, non-transferable and revocable right to use the Platform in accordance with these Terms.

MNGRS aims to provide reliable access but does not guarantee uninterrupted or error-free availability. Maintenance, updates, provider outages or events beyond reasonable control may temporarily affect the Service.

MNGRS may update or modify features, provided that mandatory rights and active paid commitments are respected.

Users who expressly opt in through a separate, optional checkbox that is unchecked by default may receive recurring SMS messages from MNGRS regarding:

• Account activation and onboarding;
• Account notifications and reminders;
• reminders to complete or activate an MNGRS Subscription;
• the User's music manager and personalized action plan;
• service updates, new features and information concerning MNGRS products and services.

Message frequency varies. Message and data rates may apply.

Users may opt out at any time by replying STOP. Users may reply HELP for assistance.

Consent to receive SMS messages is optional and is not a condition of creating an Account, purchasing a Subscription or using MNGRS.

Mobile phone numbers, SMS consent records and mobile opt-in data are used solely to operate MNGRS messaging.

MNGRS does not sell, rent, share, transfer or disclose mobile phone numbers or SMS consent information to third parties or affiliates for their own marketing or promotional purposes.

Messaging service providers acting on behalf of MNGRS may process this information only as necessary to deliver and operate the SMS service and may not use it for their own marketing or promotional purposes.

Personal data is processed in accordance with the MNGRS Privacy Policy available at https://www.mngrs.ai/privacy-policy.

The User may close their Account through available settings or by contacting MNGRS, subject to any active Subscription.

MNGRS may suspend or terminate access in the event of material breach, unlawful use, non-payment, security threats or repeated misuse.

MNGRS is responsible only for direct and foreseeable loss caused by a proven breach of its obligations, subject to mandatory law.

To the fullest extent permitted by law, MNGRS is not liable for indirect or consequential loss, loss of opportunity, revenue, profit, reputation, data or anticipated savings, or for decisions made on the basis of AI Outputs.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.

These Terms are governed by French law, without depriving consumers of mandatory protections available under the law of their country of residence.

Before initiating proceedings, the User is invited to contact contact@mngrs.ai so the parties can seek an amicable solution.

Subject to mandatory jurisdiction rules, disputes fall within the jurisdiction of the competent French courts.

MNGRS may update these Terms to reflect legal, technical or service changes. The current version is published on the Platform with its revision date. Material changes will be communicated where required.
